These Terms of Service (“Terms”) govern your access to and use of the DeployGPU website and platform (the “Service”) operated by Quanta Cloud LLC (“we,” “us,” or “DeployGPU”). By creating an account or using the Service, you agree to be bound by these Terms. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT USE THE SERVICE.
1. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. All references to “you” in these Terms shall include such organization, jointly and severally with you personally.
2. Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
3. The Service
DeployGPU is a cloud marketplace that allows you to deploy and manage GPU compute instances across multiple third-party infrastructure providers. We act as an intermediary — the underlying compute resources are provisioned by third-party providers, and availability, performance, and uptime may vary.
4. Billing and Payments
Credits
The Service operates on a prepaid credit system. You purchase credits which are consumed as you use GPU resources. Credits are non-refundable and non-transferable.
Payment Method
When you first add funds, you will be required to provide a valid payment method. We store your payment method on file via our payment processor, Stripe, for future transactions.
Auto-Refill
You may opt in to automatic balance refill, which will charge your payment method on file when your credit balance falls below a threshold you configure. You may disable auto-refill at any time from your account settings.
No Refunds
All purchases of credits are final. We do not offer refunds under any circumstances. You are responsible for monitoring your usage and credit balance.
Pricing
GPU pricing is determined by the underlying providers and is subject to change. DeployGPU applies a platform fee on top of provider pricing, which is displayed transparently at the time of deployment.
Taxes
All fees are exclusive of any applicable sales, use, value-added, or other taxes. You are responsible for paying all taxes associated with your use of the Service, excluding taxes based on our net income.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.
6. Data Use Restrictions
Prohibited Activities
You may not, and may not permit any third party to:
- Engage in automated scraping, crawling, or harvesting of data from the Service
- Use bots, scripts, or other automated means to access the Service
- Use, resell, or redistribute pricing data obtained from the Service for commercial purposes without our prior written consent
- Build competing products or services using data obtained from the Service
API Access
Any programmatic access to pricing data requires a commercial license agreement. Rate limiting is enforced, and excessive automated requests will result in IP blocking.
Enforcement
We reserve the right to block access, terminate accounts, and pursue legal remedies for violations of this section.
7. User Content
You retain all rights to any data, code, models, or other content you upload or create using the Service (“User Content”). By using the Service, you grant Quanta Cloud LLC a worldwide, royalty-free, non-exclusive license to host, store, transmit, and display your User Content solely as necessary to operate and provide the Service to you.
8. Account Suspension and Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law. We also reserve the right to ban users who engage in abusive behavior toward the Service, its infrastructure, or its staff.
Upon termination, any remaining credits in your account are forfeited and will not be refunded.
9. Monitoring
We reserve the right to monitor, review, and audit your use of the Service at any time to ensure compliance with these Terms and the Acceptable Use Policy. We may remove or restrict access to any content or resources at our sole discretion and without prior notice.
10. Intellectual Property
The Service, including its design, branding, and underlying technology, is owned by Quanta Cloud LLC. You may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the Service without our prior written consent. You retain ownership of your User Content as described in Section 7.
11. Infringement and DMCA
We respect the intellectual property rights of others. If you believe that content hosted on or through the Service infringes your copyright or trademark rights, please send a notice to our designated agent at contact@deploygpu.ai containing:
- A physical or electronic signature of the rights owner or their authorized agent
- Identification of the copyrighted or trademarked work claimed to have been infringed
- Identification of the infringing material and information sufficient to locate it
- Your contact information (address, phone number, email)
- A statement that you have a good faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the rights owner
12. Feedback
If you provide us with suggestions, ideas, or other feedback about the Service (“Feedback”), you grant us an irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback for any purpose without any obligation to you.
13. Confidentiality
“Confidential Information” means any non-public information disclosed by either party that a reasonable person would understand to be confidential, including but not limited to pricing, technical data, and business plans. The receiving party shall not disclose Confidential Information except to employees, contractors, or affiliates who need to know it and are bound by confidentiality obligations at least as protective as these Terms.
Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was known to the receiving party before disclosure; (iii) is received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted, error-free, or secure access to the Service. We make no guarantees regarding uptime, availability, performance, or data integrity of any GPU instances or third-party provider infrastructure.
You acknowledge that GPU instances may be interrupted, preempted, or terminated by the underlying provider at any time.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTA CLOUD LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. ANY CLAIM OR CAUSE OF ACTION ARISING FROM THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED.
16. Indemnification
You agree to indemnify and hold harmless Quanta Cloud LLC and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.
17. Third-Party Services
The Service integrates with third-party GPU providers. Your use of resources provisioned by these providers may be subject to their own terms and policies. We are not responsible for the acts or omissions of third-party providers.
18. Export Control
You may not use the Service in violation of any applicable export control laws or regulations, including U.S. Export Administration Regulations. You represent that you are not located in, or a national or resident of, any country subject to U.S. government embargo (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions), and that you are not listed on any U.S. government list of prohibited or restricted parties, including the Treasury Department's Specially Designated Nationals List or the Commerce Department's Entity List.
19. Dispute Resolution
Prior to initiating any formal dispute resolution, you and DeployGPU agree to attempt to resolve any dispute informally for at least thirty (30) days. If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Cheyenne, Wyoming.
CLASS ACTION WAIVER: YOU AND DEPLOYGPU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Any action to enforce an arbitration award, or where arbitration is not permitted by law, shall be brought in the state or federal courts located in Wyoming. The parties irrevocably consent to the personal jurisdiction of such courts.
20. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
21. General
Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and Quanta Cloud LLC with respect to the Service and supersede all prior agreements and understandings.
Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Our rights and remedies under these Terms are cumulative and in addition to any rights or remedies available at law or in equity.
Assignment
We may assign our rights and obligations under these Terms at any time without notice. You may not assign these Terms without our prior written consent.

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Quanta Cloud LLC. Neither party has the authority to bind the other.
Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or acts of third parties.
